Who Needs Transfer Pricing Support in Portugal
- Your foreign group has a Portuguese subsidiary that buys, sells or receives services within the group.
- Your foreign group operates through a Portuguese branch and needs to assess operations with its head office.
- Your Portuguese company has a foreign parent or sister companies and needs to document its related-party pricing.
- Your Portuguese group has related-party loans, services, royalties or cost-sharing arrangements that need tax analysis.
Legal advice, negotiation, disputes and appeals with the tax authority, and statutory audit work are outside the offer.
What's Included in Transfer Pricing Support
A certified accountant assesses your company's related-party operations against Portuguese tax requirements using the records your finance team provides.
- Related-party mapping. The counterparty map identifies which entities have special relations with your company.
- Operation inventory and exemption testing. The inventory lists every related-party operation and its value, and a certified accountant tests the documentation exemptions against your company's annual income and its per-counterparty and total operation values.
- Pricing method. A certified accountant assesses which method fits each operation, and your company adopts the method in its pricing.
- Documentation file and comparability study. The full or simplified file records the pricing analysis. A comparability study may stay valid for three years if the operations' facts and circumstances have not changed substantially, and its financial data are updated every year.
- Annual information return. A certified accountant prepares the related-party section of the annual accounting and tax information return, known as the IES.
- Advance pricing agreement request. The request includes the tax analysis and supporting documentation a certified accountant prepares to propose pricing methods in advance.
What Your Transfer Pricing File Needs
- Ownership and management information
- You provide the group chart, capital and voting interests, management roles and each entity's country of residence.
- Related-party operation records
- Your finance team provides a list of operations by counterparty, type and value, with invoices and supporting accounting entries.
- Income and company information
- You provide annual income figures, any start-of-activity declaration and information about enterprise size and Large Taxpayers Unit (Unidade dos Grandes Contribuintes) status.
- Intercompany agreements
- Your group provides existing agreements for loans, services, royalties, cost-sharing and other related-party operations.
- Pricing and financial evidence
- Your finance team provides pricing calculations, cost allocations, financial data, existing comparability studies and previous documentation files.
- Previous returns and operational information
- You provide previous annual returns and details of functions, assets, risks and changes affecting the operations under assessment.
How a Transfer Pricing Engagement Starts
The annual information return submitted to the Autoridade Tributária e Aduaneira is signed by the certified accountant responsible for your company's accounts. Accounting, audit and corporate tax questions are flagged along the way.
-
Describe the company and period
You set out the Portuguese entities, group structure, reporting period and operations that need assessment.
-
Establish the related-party map
A certified accountant assesses ownership, management and control information to identify related counterparties.
-
List operations and test exemptions
The operation inventory records values by counterparty, and the exemption assessment establishes which documentation obligations apply.
-
Select and apply the method
A certified accountant assesses the available evidence and applies the pricing method to the relevant operations.
-
Prepare the file and annual disclosure
The documentation file records the analysis, and a certified accountant prepares the related-party information for the IES.
-
Review the yearly evidence
A comparability study may stay valid for three years if the operations' facts and circumstances have not changed substantially. Its financial data are updated every year.
Timing and Possible Delays
The timing is set case by case.
Any positive correction for operations with non-residents goes in the annual income return (Modelo 22), due by the last day of May for a calendar-year company, so the pricing analysis is settled before then. The documentation file and the IES follow by 15 July.
What delays it
Preparation takes longer when ownership information, operation values, financial records or comparable data remain incomplete.
What to prepare now
Your finance team gathers the ownership chart, accounting records, existing agreements and previous pricing analysis before preparation begins.
Documentation Exemptions and Annual Preparation
The exemption assessment starts with annual income
The documentation file is not required when your company’s total annual income in the period is below EUR 10,000,000 under Portaria n.º 268/2021. The first period’s test uses the annualized estimated income in the start-of-activity declaration. The exemption still applies above EUR 10,000,000 to related-party operations that do not exceed EUR 100,000 per counterparty and EUR 500,000 in total during the period, at market value. These exemptions exclude operations with persons resident outside Portugal in clearly more favorable tax regimes, and an exempt taxpayer must still demonstrate market terms when the tax authority requests proof.
The yearly file needs current evidence
Comparability studies use the most current information available when prepared and may remain valid for three years if the operations’ facts and circumstances have not changed substantially. Their financial data are updated every year under Portaria n.º 268/2021. The same rules make the transfer pricing file subject to the tax documentation file requirements. These requirements include completion by the IES deadline and retention for 10 years under Article 130 of the IRC Code. The files stay at an establishment in Portugal, or with the tax representative if the taxpayer has no seat, effective management or permanent establishment in Portugal. Taxpayers followed by the Large Taxpayers Unit deliver both files by the IES deadline, companies taxed under the special regime for groups of companies deliver the tax documentation file by that deadline, and other taxpayers deliver the files when notified.
An advance pricing request sets out the proposed method
The request goes to the tax authority’s director-general, identifies operations and period, justifies the method with documentation, and carries every participating entity’s signature under Article 138 of the IRC Code. The taxpayer declares cooperation and provision of information without invoking professional or commercial secrecy, and supplies exchange-of-information data where applicable. Your company may request submission to the other country’s competent authorities for a bilateral or multilateral agreement if the counterparty resides in a treaty country. The confidential agreement lasts no more than four years and binds the tax authority while applicable law remains unchanged and economic and operating circumstances and other base assumptions show no significant variation.
