Who Needs Fractional CFO Support in Portugal
- Your foreign-owned Portuguese company needs management reporting and cash planning for directors or overseas shareholders.
- Your scale-up needs budgets, forecasts and investment analysis before a full-time finance leadership role is justified.
- Your group needs related-party flows and subsidiary reporting placed into a consistent finance cycle.
- Your finance team needs senior finance input on board packs, financing decisions and the records external professionals request.
Signing financial statements or tax returns, statutory audit work and legal advice are outside the offer.
What's Included in Fractional CFO Support
The service establishes the reporting, planning, cash and organizational work that an outsourced CFO handles and that your company needs for recurring finance decisions.
- Management reporting. Monthly packs organize profit and loss, balance-sheet, cash and operational information for directors, shareholders or group reporting.
- Budgets and forecasts. Operating assumptions, scenarios and actual-to-budget movements support planning and investment decisions.
- Cash planning. Short-term cash views place expected receipts, payments, tax amounts, payroll and financing requirements into one schedule.
- Board and investor packs. Reporting materials present performance, forecast movements, cash requirements and decisions for the relevant audience.
- Finance calendar. The calendar places management deadlines beside statutory tax and accounts dates, including the dates that require input from a certified accountant.
- Records for professionals. Related-party flows are mapped, and the finance records needed by a certified accountant and a statutory auditor, where the company has one, are organized.

Finance Leadership and Compliance Inputs
Calendar sequence for accounts and tax records
Código do IRC Article 123(3) bars the accounts from running more than 90 days behind, counted from the last day of the month the operations relate to, and the finance calendar marks that date for each month. The calendar then places the date by which Código das Sociedades Comerciais Article 65(5) requires the management report and annual accounts to be presented to and considered by the competent body: three months after year-end, or five months for a company that must present consolidated accounts or applies the equity method. The sequence ends with the IES deadline under Código do IRC Article 121(2) on 15 July for a calendar-year company, or by the 15th day of the 7th month after a non-calendar period ends under Article 121(3), while Article 121(5) requires its figures to agree with the accounting records.
Forecast tests for tax and audit thresholds
Código do IRC Article 87-A(1) adds derrama estadual of 3% on taxable profit above EUR 1,500,000 up to EUR 7,500,000, 5% up to EUR 35,000,000 and 9% above that for companies whose main activity is commercial, industrial or agricultural and for non-residents with a permanent establishment in Portugal, and the forecast shows where projected profit sits against those bands. The forecast also compares the projected balance-sheet total, net sales and other income, and average employees with the Código das Sociedades Comerciais Article 262(2) limits of EUR 1,500,000, EUR 3,000,000 and 50 employees. Article 262(2) requires a sociedade por quotas without a supervisory board to appoint a revisor oficial de contas when two of those three limits are exceeded for two consecutive years.
Related-party flow records
Código do IRC Article 63(2) extends the arm’s-length rule to operations in tangible or intangible goods, rights or services, cost-sharing, financial operations and business restructurings between related parties. The group-flow register lists each intra-group flow with its counterparty, amount and commercial basis so that your group and a certified accountant can apply the Article 63(1) test. Portaria n.º 268/2021 Article 17(3) dispenses a taxpayer with total annual income below EUR 10,000,000 in the period from the transfer-pricing documentation file, and Article 17(5) keeps that dispensation above the limit for related-party operations up to EUR 100,000 per counterparty and EUR 500,000 in total in the period. Article 17(6) excludes operations with entities in a jurisdiction with a clearly more favorable tax regime, and the Article 63(1) terms rule still applies to every related-party operation.
